Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Liveligoods mobile application (the "App") operated by Liveligoods LLC ("Liveligoods," "we," "our," or "us"). By creating an account or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.

1. Eligibility

You must be at least 18 years old to create an account and use the App. By using the App, you represent and warrant that you meet this requirement. Users between the ages of 13 and 17 may use the App only with verifiable parental or guardian consent, and certain features — including seller subscriptions — are unavailable to minors.

2. Account Registration

To access most features, you must register for an account using your name, email address, and phone number. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials and not share your password
• Promptly update your account information if it changes
• Accept responsibility for all activity that occurs under your account
• Notify us immediately at support@liveligoods.com if you suspect unauthorized access to your account.

3. The Marketplace

3.1 Listing Categories

Liveligoods supports five listing categories:

• Buy Goods — items for sale
• Rent Items — items available for short-term rental
• Learn Skills — skill-based instruction and tutoring
• Events — local community events
• Hire Services — local service providers

All listings must fall within one of these categories. Listings that do not fit an applicable category may be removed without prior notice.

3.2 Hyperlocal Geofencing

Listings are visible only to users within approximately 50 miles of the selected community. You agree to list only goods, services, skills, and events that are genuinely available within your local area, and not to circumvent geofencing through false location data or other technical means.

3.3 Seller Subscriptions

Posting active listings requires a paid seller subscription. Subscriptions are offered at a flat rate with no tiered or promoted placement — all sellers receive equal, non-promoted listing visibility. Pricing is as stated on the subscription billing page at the time of purchase.

• Subscriptions auto-renew at the end of each billing cycle unless cancelled before the renewal date
• You may cancel at any time through your account settings or your app store subscription controls; access continues through the end of the current paid period
• Subscription fees are non-refundable for partial periods except where required by applicable law
• We reserve the right to modify pricing with at least 30 days' notice to active subscribers

3.4 No In-App Payments Between Users

Liveligoods does not process, hold, or facilitate payments between buyers and sellers. All monetary exchanges for goods, services, rentals, or lessons must be arranged and settled outside the App. Liveligoods assumes no liability for payment disputes, non-performance, or fraud arising from transactions between users.

3.5 No Paid Promotions

Liveligoods does not offer paid listing promotions, featured placements, or advertising. Listing visibility is determined by relevance and recency only. This is a core principle of the platform.

3.6 Open Inquiries

Consumers may post Open Inquiries — public request boards announcing a specific local need — viewable by all users. Responding to and fulfilling Open Inquiries as a seller requires an active paid subscription.

4. User Conduct

You agree to use the App only for lawful purposes and in accordance with these Terms. You agree not to:

• Post listings for prohibited items or services (see Section 5)
• Misrepresent the condition, availability, or nature of a listing
• Harass, threaten, or harm other users
• Provide false location information or attempt to circumvent geofencing
• Create multiple accounts to evade suspensions or bans
• Use automated tools, bots, or scrapers to access or collect data from the App
• Interfere with the security or integrity of the App or its infrastructure
• Engage in price gouging, fraudulent transactions, or deceptive trade practices
• Post spam, duplicate listings, or listings unrelated to your actual local area
• Use in-app messaging to send unsolicited marketing, phishing links, or harassing content

5. Prohibited Listings

The following items and services are prohibited on Liveligoods across all listing categories:

• Illegal goods or substances of any kind
• Firearms, ammunition, and weapons of any kind
• Any item subject to an active, unremedied manufacturer or CPSC safety recall
• Motor vehicles, boats, personal watercraft, or recreational vehicles required to be titled or registered with a state or local authority
• Items whose rental or sale would require a federal, state, or municipal license, permit, or registration that the lister does not hold
• Counterfeit or stolen goods
• Adult content or services of a sexual nature
• Recalled or safety-hazard products
• Financial instruments, investments, or securities
• Listings that facilitate discrimination on the basis of any protected class under applicable law

We reserve the right to remove any listing that violates these Terms, without prior notice.

6. Rent Items — Restricted Items and Lister Attestations

This section applies to all listings in the Rent Items category, which includes: Tools & Equipment, Party & Event Gear, Outdoor & Camping, Sports Equipment, Musical Instruments, Electronics, Baby Gear, Mobility & Medical Equipment, Home & Garden Equipment, Costumes & Formal Wear, and Moving & Storage Supplies.

Certain items within otherwise-permitted rental categories carry safety, regulatory, or liability characteristics that require additional disclosure. The table below identifies items excluded from listing and attestations a lister must affirmatively confirm at the time of listing creation. Liveligoods relies on the lister's attestation in good faith and does not independently verify item condition, history, or compliance.

6.1 Attestation Mechanism

Where this section requires an attestation, the Liveligoods platform will present the applicable attestation language to the lister at the time of listing creation and require affirmative acknowledgment before the listing may be published.

6.2 Enforcement

Liveligoods reserves the right to remove any listing that violates this section without prior notice, and to suspend or terminate the account of a repeat violator, consistent with Section 10 of these Terms.

7. User-Generated Content

7.1 Ownership

You retain ownership of photos, descriptions, and other content you post to the App ("Your Content"). By posting Your Content, you grant Liveligoods LLC a non-exclusive, royalty-free, worldwide license to display, reproduce, and distribute Your Content within the App solely for the purpose of operating the platform.

7.2 Content Standards

Your Content must be accurate, lawful, and not misleading. You may not post content that:

• Infringes any third party's intellectual property rights
• Contains malware, phishing links, or malicious code
• Is defamatory, obscene, or harassing
• Violates any applicable law or regulation

7.3 Content Removal

We may remove or disable access to any content that violates these Terms, without prior notice. We are not obligated to pre-screen content but reserve the right to do so.

8. Transactions Between Users

Liveligoods is a platform that connects buyers, sellers, renters, and service providers. We are not a party to any transaction between users and do not guarantee the quality, safety, legality, or accuracy of any listing. We are not responsible for:

• The condition or quality of items sold, rented, or exchanged
• The performance of services or skills offered
• Payment disputes between users
• Physical safety during in-person meetups

We strongly encourage users to meet in public places for in-person exchanges and to exercise good judgment when engaging with other community members.

9. Ratings and Reviews

Users may leave ratings and reviews for completed transactions. Reviews must be honest, first-hand accounts. You may not post fake, incentivized, or retaliatory reviews. We may remove reviews that violate these standards. Gaming community engagement thresholds through fake accounts or coordinated manipulation is a violation of these Terms.

10. Enforcement and Account Termination

We may suspend or terminate your account at any time, with or without notice, if we determine you have violated these Terms or if we believe your account poses a risk to other users or the platform. You may delete your account at any time through the App settings. Upon termination:

• Your access to the App will cease immediately
• Your active listings will be removed
• Any remaining subscription period will not be refunded, except as required by applicable law
• Certain non-personally-identifying identifiers may be retained in audit logs to prevent circumvention of community safety bans, as described in our Privacy Policy

11. Intellectual Property

All App software, design, graphics, trademarks, and other content developed or owned by Liveligoods LLC are the exclusive property of Liveligoods LLC. These Terms do not grant you any right to use our trademarks, logos, or proprietary content other than as necessary to use the App as intended.

14. Indemnification

You agree to indemnify, defend, and hold harmless Liveligoods LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of the App; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third party's rights.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wisconsin, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or your use of the App shall first be submitted to good-faith informal negotiation. If unresolved after 30 days, disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association, with arbitration conducted in Sauk County, Wisconsin.

Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction. You waive any right to participate in a class-action lawsuit or class-wide arbitration.

16. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes through an in-app notification at least 14 days before the changes take effect. Your continued use of the App after the effective date constitutes your acceptance of the revised Terms. If you do not agree, you must stop using the App.

17. Miscellaneous

• Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and Liveligoods LLC regarding the App.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
• No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
• Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights freely.
