LIVELIGOODS

1. Eligibility

You must be at least 18 years old to create an account and use the App. By using the App, you represent and warrant that you meet this requirement. The App is not available to users under 18, and we do not offer a parental or guardian consent process for minors of any age.

2. Account Registration

To access most features, you must register for an account using your name, email address, and phone number, and enable device location sharing as described in Section 3.2. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials and not share your password
• Promptly update your account information if it changes
• Accept responsibility for all activity that occurs under your account

Notify us immediately at support@liveligoods.app if you suspect unauthorized access to your account.

3. The Marketplace

3.1 Listing Categories

LiveliGoods supports six listing categories:

• Buy Goods — items for sale
• Rent Items — items available for short-term rental
• Learn Skills — skill-based instruction and tutoring
• Hire Services — local service providers
• Events — local community events
• Open Inquiries — public request boards where you can announce a specific local need (see Section 3.6)

All listings must fall within one of these categories. Listings that do not fit an applicable category may be removed without prior notice.

3.2 Location-Based Access and Geofencing

The App requires device location sharing in order to function. Similar to other location-based apps, LiveliGoods asks you to enable location access when you create your account; without it, you will not be able to browse listings, view your feed, or publish listings.

Your buyer feed shows listings, events, and Open Inquiries within approximately 50 miles of your device's current location. Your buyer feed updates automatically as your device reports a new location — there is no separate step to manually change your community.

If you are a seller, each listing is tied to the location your device reported at the time you created that listing, and is shown to buyers within approximately 50 miles of that location. A listing does not move if you later travel elsewhere; it remains visible to buyers near where it was originally posted. If you want a listing to appear in a different area, you will need to create a new listing from that location.

You agree not to falsify your device's location, use a VPN, proxy, GPS-spoofing tool, or other technical means to circumvent geofencing or misrepresent your true location, and to list only goods, services, skills, and events that are genuinely available within your actual local area.

If you decline location permission at signup, or later revoke it through your device settings, certain features of the App — including browsing listings, publishing listings, and viewing your local feed — will be unavailable to you until location access is restored.

3.3 Seller Subscriptions

LiveliGoods offers three account tiers:

• Seed (free): browse listings and post Open Inquiries.
• Sprout (paid): includes everything in Seed, plus the ability to create and post listings as an individual or as a business (one designation per account at a time).
• Grove (paid, higher tier): includes everything in Sprout, plus the ability to post listings under both an individual name and a business name, choosing which name each listing is posted under.

Posting an active listing in the Buy Goods, Rent Items, Learn Skills, Hire Services, or Events categories requires an active Sprout or Grove subscription. Open Inquiries are the exception — any user, regardless of tier, may post an Open Inquiry, since Open Inquiries are requests posted by consumers rather than listings posted by sellers (see Section 3.6). An active Sprout or Grove subscription is still required to respond to and fulfill an Open Inquiry as a seller.

Subscription tier pricing reflects feature access only — specifically, individual versus combined individual-and-business posting capability — and does not affect listing visibility, ranking, or placement. Consistent with Section 3.5, no tier receives promoted or boosted placement: all active sellers, regardless of tier, receive equal, non-promoted listing visibility based on relevance and recency only. Pricing for each tier is as stated on the subscription billing page at the time of purchase.

Each listing is posted under either your individual display name or your business name, as permitted by your tier, and displays that name on the listing. To post under a business name, you must provide the business name and may add a logo, description, and operating hours. You represent that you are authorized to act on behalf of any business you post under and that the business information you provide is accurate.

Your seller profile displays your individual profile and your business information together. Buyers who view your profile from any of your listings will see both, with your listings grouped by the name under which they were posted.

If your subscription ends or changes to a tier that does not permit the posting designation used on a listing, that listing will be hidden from other users but not deleted, and will be restored if you subscribe to an eligible tier.

3.4 No In-App Payments Between Users

LiveliGoods does not process, hold, or facilitate payments between buyers and sellers. All monetary exchanges for goods, services, rentals, or lessons must be arranged and settled outside the App. LiveliGoods assumes no liability for payment disputes, non-performance, or fraud arising from transactions between users.

3.5 No Paid Promotions

LiveliGoods does not offer paid listing promotions, featured placements, or advertising. Listing visibility is determined by relevance and recency only. This is a core principle of the platform.

3.6 Open Inquiries

Consumers may post Open Inquiries — public request boards announcing a specific local need — viewable by all users. Responding to and fulfilling Open Inquiries as a seller requires an active paid subscription.

4. User Conduct

You agree to use the App only for lawful purposes and in accordance with these Terms. You agree not to:

• Post listings for prohibited items or services (see Section 5)
• Misrepresent the condition, availability, or nature of a listing
• Harass, threaten, or harm other users
• Falsify your device's location, use a VPN, proxy, GPS-spoofing tool, or other technical means to circumvent geofencing or misrepresent your true location
• Create multiple accounts to evade suspensions or bans
• Use automated tools, bots, or scrapers to access or collect data from the App
• Interfere with the security or integrity of the App or its infrastructure
• Engage in price gouging, fraudulent transactions, or deceptive trade practices
• Post spam, duplicate listings, or listings unrelated to your actual local area
• Use in-app messaging to send unsolicited marketing, phishing links, or harassing content

5. Prohibited Listings

The following items and services are prohibited on LiveliGoods across all listing categories:

• Illegal goods or substances of any kind
• Firearms, ammunition, and weapons of any kind
• Any item subject to an active, unremedied manufacturer or CPSC safety recall
• Motor vehicles, boats, personal watercraft, or recreational vehicles required to be titled or registered with a state or local authority
• Items whose rental or sale would require a federal, state, or municipal license, permit, or registration that the lister does not hold
• Counterfeit or stolen goods
• Adult content or services of a sexual nature
• Recalled or safety-hazard products
• Financial instruments, investments, or securities
• Listings that facilitate discrimination on the basis of any protected class under applicable law

We reserve the right to remove any listing that violates these Terms, without prior notice.

6. Rent Items — Restricted Items and Lister Attestations

This section applies to all listings in the Rent Items category, which includes: Tools & Equipment, Party & Event Gear, Outdoor & Camping, Sports Equipment, Musical Instruments, Electronics, Baby Gear, Mobility & Medical Equipment, Home & Garden Equipment, Costumes & Formal Wear, and Moving & Storage Supplies.

Certain items within otherwise-permitted rental categories carry safety, regulatory, or liability characteristics that require additional disclosure. The table below identifies items excluded from listing and attestations a lister must affirmatively confirm at the time of listing creation. LiveliGoods relies on the lister's attestation in good faith and does not independently verify item condition, history, or compliance.

6.1 Attestation Mechanism

Where this section requires an attestation, the LiveliGoods platform will present the applicable attestation language to the lister at the time of listing creation and require affirmative acknowledgment before the listing may be published.

6.2 Enforcement

LiveliGoods reserves the right to remove any listing that violates this section without prior notice, and to suspend or terminate the account of a repeat violator, consistent with Section 10 of these Terms.

7. User-Generated Content

7.1 Ownership

You retain ownership of photos, descriptions, and other content you post to the App ("Your Content"). By posting Your Content, you grant LiveliGoods LLC a non-exclusive, royalty-free, worldwide license to display, reproduce, and distribute Your Content within the App solely for the purpose of operating the platform.

7.2 Content Standards

Your Content must be accurate, lawful, and not misleading. You may not post content that:

• Infringes any third party's intellectual property rights
• Contains malware, phishing links, or malicious code
• Is defamatory, obscene, or harassing
• Violates any applicable law or regulation

7.3 Content Removal

We may remove or disable access to any content that violates these Terms, without prior notice. We are not obligated to pre-screen content but reserve the right to do so.

8. Transactions Between Users

LiveliGoods is a platform that connects buyers, sellers, renters, and service providers. We are not a party to any transaction between users and do not guarantee the quality, safety, legality, or accuracy of any listing. We are not responsible for:

• The condition or quality of items sold, rented, or exchanged
• The performance of services or skills offered
• Payment disputes between users
• Physical safety during in-person meetups

We strongly encourage users to meet in public places for in-person exchanges and to exercise good judgment when engaging with other community members.

9. Ratings and Reviews

Users may leave ratings and reviews for completed transactions. Reviews must be honest, first-hand accounts. You may not post fake, incentivized, or retaliatory reviews. We may remove reviews that violate these standards. Ratings and reviews are associated with the listing on which they are left, including whether that listing was posted under an individual or business name, and are displayed on the seller's profile. Gaming community engagement thresholds through fake accounts or coordinated manipulation is a violation of these Terms.

10. Enforcement and Account Termination

We may suspend or terminate your account at any time, with or without notice, if we determine you have violated these Terms or if we believe your account poses a risk to other users or the platform. You may delete your account at any time through the App settings. Upon termination:

• Your access to the App will cease immediately
• Your active listings will be removed, whether posted under your individual name or a business name
• Any remaining subscription period will not be refunded, except as required by applicable law
• Certain non-personally-identifying identifiers may be retained in audit logs to prevent circumvention of community safety bans, as described in our Privacy Policy

11. Intellectual Property

All App software, design, graphics, trademarks, and other content developed or owned by LiveliGoods LLC are the exclusive property of LiveliGoods LLC. These Terms do not grant you any right to use our trademarks, logos, or proprietary content other than as necessary to use the App as intended.

12. Disclaimers

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. LIVELIGOODS LLC DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. LIVELIGOODS LLC DOES NOT VERIFY THE QUALITY, CONDITION, LEGALITY, OR SAFETY OF ANY USER-GENERATED LISTING. ANY IN-PERSON INTERACTION, EXCHANGE, OR PAYMENT ARRANGED THROUGH THE APP IS UNDERTAKEN ENTIRELY AT THE USER’S OWN RISK.

13. Limitation of Liability

14. Indemnification

You agree to indemnify, defend, and hold harmless LiveliGoods LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of the App; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third party's rights.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wisconsin, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or your use of the App shall first be submitted to good-faith informal negotiation. If unresolved after 30 days, disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association, with arbitration conducted in Sauk County, Wisconsin.

Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction. You waive any right to participate in a class-action lawsuit or class-wide arbitration.

16. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes through an in-app notification at least 14 days before the changes take effect. Your continued use of the App after the effective date constitutes your acceptance of the revised Terms. If you do not agree, you must stop using the App.

17. Miscellaneous

• Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and LiveliGoods LLC regarding the App.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
• No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
• Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights freely.
